These Terms of Use ("Terms") govern your access to and use of the Fence Center website, including all pages, content, features, online ordering functionality, products, services, and other resources made available through the website (collectively, the "Site").

The Site is operated by FDR LLC d/b/a Fence Center ("Fence Center," "we," "us," or "our").

By accessing or using the Site, placing an order, or purchasing products through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Site or place an order through the Site.

1. USE OF THE SITE

Fence Center provides the Site for customers to browse and purchase fencing products and related materials and to obtain information about Fence Center and its products.

You agree to use the Site only for lawful purposes and in accordance with these Terms.

You may not use the Site:

• To violate any applicable federal, state, or local law or regulation;
• To engage in fraudulent, deceptive, or misleading activity;
• To interfere with or disrupt the Site or its underlying systems;
• To attempt to gain unauthorized access to any account, computer system, server, or network;
• To introduce viruses, malware, or other harmful code;
• To scrape, harvest, or systematically collect information from the Site without written authorization;
• To impersonate another person or entity; or
• In any manner that could damage, disable, overburden, or impair the Site or interfere with another person's use of the Site.

Fence Center reserves the right to restrict, suspend, or terminate access to the Site if we determine that these Terms have been violated.

2. PRODUCT INFORMATION

Fence Center makes reasonable efforts to provide accurate product descriptions, photographs, specifications, dimensions, colors, quantities, availability information, and other product information on the Site.

However, product images and descriptions are provided for informational purposes and may not represent the exact appearance or characteristics of the product received. Colors, textures, finishes, dimensions, and other product characteristics may vary.

Fence Center reserves the right to correct errors, omissions, inaccuracies, or outdated information at any time.

Product availability shown on the Site is subject to change without notice.

3. PRICING

Prices displayed on the Site are subject to change without notice.

Fence Center makes reasonable efforts to ensure that prices displayed on the Site are accurate. However, errors may occasionally occur.

If a pricing error is discovered after an order has been placed, Fence Center reserves the right to contact the customer regarding the correct price or cancel the affected order and provide a refund of amounts paid for the affected product.

Applicable sales and use taxes will be charged as required by law.

Shipping charges, where applicable, will be displayed during the ordering process or otherwise communicated to the customer.

4. ONLINE ORDERS AND ORDER ACCEPTANCE

When you place an order through the Site, you agree to provide accurate and complete information necessary to process and fulfill the order.

Submitting an order through the Site constitutes an offer to purchase the products identified in the order. An order is not considered accepted by Fence Center until Fence Center confirms the order.

Fence Center reserves the right to accept, decline, limit, or cancel an order for any lawful reason, including product availability, pricing errors, suspected fraud, payment issues, shipping limitations, or other circumstances affecting the ability to fulfill the order.

If Fence Center cancels an order after payment has been received, Fence Center will refund amounts paid for the canceled portion of the order, subject to any applicable cancellation terms contained in these Terms.

5. PAYMENT

You authorize Fence Center or its designated payment processor to charge the payment method provided for the purchase price of your order and any applicable taxes, shipping charges, or other charges disclosed during the purchase process.

You represent that you are authorized to use the payment method provided.

Fence Center may decline or cancel an order if payment cannot be successfully authorized or processed.

6. SHIPPING, DELIVERY AND FREIGHT

All delivery dates and times will be scheduled as communicated by Fence Center.

Shipping Methods

Larger and heavier items may only be shipped by ground freight and cannot be expedited.

Oversized items shipped by freight trucking companies typically arrive within 7 to 14 business days. Actual delivery times may vary based on carrier schedules, destination, weather, traffic, and other circumstances beyond Fence Center's control.

The freight carrier will generally notify the customer by telephone to schedule a delivery date and time window. Typically, delivery will occur within a four-hour timeframe, and someone must be available to receive the shipment.

Unless specifically stated otherwise, shipping charges do not include:

• Inside delivery;
• Lift-gate service;
• Removal of cartons or packaging;
• Installation;
• Assembly; or
• Carrying products into a building or other structure.

Fence Center's deliveries are truckside/curbside deliveries. The delivery provider is not responsible for carrying products into a building or other structure or for assembling the products.

For heavier packages, customers are responsible for having sufficient assistance available to safely receive and move the materials after delivery.

Delivery Location

Fence Center and its delivery providers will not drive delivery trucks off paved surfaces unless otherwise specifically agreed.

Fence Center is not responsible for damage to lawns, landscaping, driveways, pavement, or other ground or property conditions resulting from the placement of materials, unloading, delivery vehicle access, or truck tires.

Customers are responsible for ensuring that the delivery location is accessible to the delivery vehicle and suitable for receiving the ordered materials.

Delivery Inspection — IMPORTANT

Customers must carefully inspect the outer carton, packaging, and entire contents of a shipment for potential damage when the order is delivered.

If significant damage has occurred, the customer should refuse delivery and contact Fence Center immediately so that replacement and carrier claim procedures can be initiated.

If minor damage has occurred and the customer believes that replacement parts or other corrective action may resolve the issue, the customer should note the damage on the delivery receipt before accepting the product.

If the customer is unable to fully inspect the entire contents at the time of delivery, the customer must write:

"SUBJECT TO FURTHER INSPECTION"

on the delivery receipt before signing.

This documentation is necessary to allow Fence Center to pursue a concealed-damage claim with the carrier.

If the delivery driver does not allow the customer to document the condition of the shipment or to indicate that the shipment is subject to further inspection, the customer should refuse delivery and contact Fence Center immediately.

If a delivery arrives when the customer is not present, the customer must inspect the shipment and report any damage to Fence Center within 48 hours of delivery.

Shipments signed for without notation of damage or without being identified as subject to further inspection may be considered accepted in good condition, subject to applicable law.

Customers must retain the original packaging and shipping materials for products for which a shipping damage claim is made. Fence Center may require the original packaging in order to process a damage claim.

Shipping Territory

Prices include ground shipping within the continental United States on select products.

Additional charges may apply to shipments to Alaska and Hawaii. Customers should contact Fence Center for applicable charges before placing an order for delivery to these locations.

Fence Center does not ship to international addresses or Post Office Boxes.

Shipping methods, charges, availability, and delivery times may vary by product and destination.

7. ORDER CANCELLATIONS

Because products may be procured, produced, allocated, or prepared for shipment specifically for an order, customers should carefully review and confirm their material list, product selections, quantities, colors, specifications, and other order details before completing a purchase.

An order may be cancelled without penalty within 72 hours of purchase, provided that the materials ordered have not been procured, produced, or shipped.

After 72 hours from purchase, an order may be cancelled subject to a 20% cancellation fee, provided that the materials ordered have not been procured, produced, or shipped.

If materials have already been procured, produced, or shipped, the order may not be cancelled.

Customers requesting cancellation should contact Fence Center as soon as possible. A cancellation is not effective until confirmed by Fence Center.

8. NO RETURNS

ALL SALES ARE FINAL. FENCE CENTER DOES NOT ACCEPT RETURNS OF PRODUCTS PURCHASED THROUGH THE SITE.

Customers are responsible for confirming their material list, product selections, quantities, colors, styles, sizes, and other order details before placing an order.

Customers should carefully review their order confirmation and contact Fence Center immediately if they believe an order contains an error.

This no-return policy does not limit any rights or remedies that cannot lawfully be excluded under applicable law, nor does it affect Fence Center's obligations regarding products that are damaged in shipment, defective, or subject to an applicable manufacturer warranty or other legally applicable remedy.

9. CUSTOMER RESPONSIBILITY FOR ORDERS

Customers are responsible for reviewing and confirming all product selections and quantities before placing an order.

Customers are responsible for determining the appropriate materials and quantities required for their project, including measurements and site-specific requirements, unless Fence Center has expressly agreed in writing to provide such services.

Fence Center may provide product information, calculators, recommendations, diagrams, measurements, or other guidance through the Site. Such information is provided for general informational purposes and should not be considered a substitute for professional judgment, applicable building codes, permitting requirements, property surveys, utility-location requirements, or site-specific evaluation.

Customers are responsible for verifying measurements, quantities, property conditions, local requirements, permits, utility locations, and other conditions applicable to their project before purchasing or installing products.

Fence Center is not responsible for errors resulting from measurements, quantities, site conditions, installation methods, or information supplied by a customer.

10. PRODUCT WARRANTIES

Products purchased through the Site may be subject to warranties provided by the applicable manufacturer.

To the extent applicable, manufacturer warranties are separate from these Terms and may contain specific requirements, exclusions, limitations, and procedures.

Nothing in these Terms is intended to eliminate or limit a warranty or other right that cannot legally be excluded or limited.

11. INTELLECTUAL PROPERTY

All content on the Site, including text, photographs, graphics, logos, product images, videos, designs, illustrations, page layouts, icons, software, and other materials, is owned by Fence Center or its licensors and is protected by applicable intellectual property laws.

Fence Center grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for your personal or legitimate business purposes related to evaluating or purchasing Fence Center products and services.

Except as expressly authorized by Fence Center in writing, you may not:

• Copy, reproduce, modify, distribute, publish, or publicly display Site content;
• Create derivative works based on Site content;
• Use Site content for commercial purposes unrelated to your dealings with Fence Center;
• Systematically download, scrape, or collect Site content;
• Use Site content to create a database, catalog, or competing service; or
• Remove copyright, trademark, or other proprietary notices.

All trademarks, trade names, logos, service marks, and other brand elements appearing on the Site are the property of Fence Center or their respective owners.

12. USER-SUBMITTED CONTENT

If you submit reviews, comments, photographs, questions, project information, or other content to Fence Center, you represent that you have the right to provide that content and that it does not violate the rights of another person or entity.

You grant Fence Center a non-exclusive, royalty-free license to use, reproduce, display, and otherwise use submitted content as reasonably necessary to operate our business and provide our products and services.

Fence Center reserves the right to remove or decline to publish submitted content that is unlawful, misleading, infringing, offensive, or otherwise inappropriate.

13. PROHIBITED USES AND SITE SECURITY

You may not attempt to violate or circumvent the security of the Site, including by:

• Accessing data or accounts not intended for you;
• Attempting to probe, scan, or test the vulnerability of the Site or its systems;
• Attempting to bypass authentication or security measures;
• Interfering with the Site or its services through flooding, overloading, or similar means;
• Introducing malicious software or code; or
• Attempting to gain unauthorized access to systems or networks connected to the Site.

Fence Center reserves the right to investigate suspected violations and to cooperate with appropriate authorities where required or appropriate.

14. THIRD-PARTY SERVICES AND LINKS

The Site may contain links to third-party websites, services, payment processors, manufacturers, suppliers, social media platforms, or other resources.

Third-party services are not controlled by Fence Center. Fence Center does not necessarily endorse and is not responsible for the content, availability, security, privacy practices, or policies of third-party websites or services.

Your use of third-party websites and services is subject to their applicable terms and policies.

15. SITE AVAILABILITY AND ERRORS

Fence Center makes reasonable efforts to maintain the Site but does not guarantee that the Site will always be available, uninterrupted, secure, or error-free.

The Site may be temporarily unavailable because of maintenance, upgrades, technical problems, internet or telecommunications failures, third-party service interruptions, weather events, or other circumstances beyond Fence Center's reasonable control.

Fence Center may modify, suspend, or discontinue any portion of the Site at any time.

Fence Center also reserves the right to correct errors and omissions in product information, pricing, availability, descriptions, or other Site content.

16. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

FENCE CENTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE SITE AND ITS CONTENT, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE EXCLUDED.

FENCE CENTER DOES NOT WARRANT THAT INFORMATION PROVIDED THROUGH THE SITE WILL BE COMPLETE, ACCURATE, CURRENT, OR SUITABLE FOR EVERY CUSTOMER OR PROJECT.

PRODUCTS PURCHASED THROUGH THE SITE MAY BE SUBJECT TO SEPARATE MANUFACTURER WARRANTIES OR OTHER PRODUCT-SPECIFIC TERMS.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FENCE CENTER AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR INFORMATION PROVIDED THROUGH THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FENCE CENTER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO FENCE CENTER FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

18. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless FDR LLC d/b/a Fence Center and its owners, officers, employees, affiliates, agents, suppliers, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your violation of these Terms;
• Your misuse of the Site;
• Your violation of applicable law or the rights of another person or entity; or
• Content or information you submit to Fence Center that infringes the rights of another person or entity.

19. PRIVACY

Your use of the Site is also subject to Fence Center's Privacy Policy.

Information submitted through online registration, forms, user forums, or other portions of the Site may be used primarily for internal marketing analysis, to respond to inquiries, to provide product information, and to conduct customer surveys.

If Fence Center shares information with external parties, Fence Center intends to aggregate such information in a manner designed to protect personally identifiable information.

Fence Center uses reasonable physical, electronic, and managerial safeguards intended to protect information collected online against unauthorized access, maintain data accuracy, and support appropriate use of the information.

20. TERMINATION

Fence Center may suspend or terminate your access to the Site at any time, with or without notice, if we believe that you have violated these Terms or applicable law or for other legitimate business reasons.

Provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, governing law, and any other provisions that by their nature should survive termination will remain in effect following termination.

21. GOVERNING LAW AND DISPUTES

These Terms and your use of the Site are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, any dispute, claim, or cause of action arising out of or relating to these Terms or your use of the Site shall be brought in the applicable state or federal courts located in Pennsylvania.

You agree to submit to the jurisdiction of those courts, subject to any rights or requirements imposed by applicable law.

22. CHANGES TO THESE TERMS

Fence Center may revise these Terms from time to time.

When changes are made, Fence Center will update the "Effective Date" or "Last Updated" date displayed at the beginning of these Terms.

Your continued use of the Site after revised Terms are posted constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically.

23. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

24. ENTIRE AGREEMENT

These Terms, together with Fence Center's Privacy Policy and any other terms expressly incorporated by reference, constitute the entire agreement between you and Fence Center concerning your use of the Site.

Additional terms may apply to specific products, services, promotions, or transactions.

If there is a conflict between these Terms and a specific written agreement governing a particular transaction, the terms of that specific agreement will control to the extent of the conflict.
